Terms of Service

Governing Law: Laws of the United Arab Emirates & the Emirate of Dubai

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the RepHigh platform, websites, and services (collectively, the “Service”) operated by RepHigh (“RepHigh,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Service.

You confirm that you are a licensed healthcare clinic, or an authorised representative of one, operating lawfully in the United Arab Emirates, and that you have the authority to enter into these Terms on behalf of your organisation.

2. The Service

RepHigh is a patient relationship and growth platform that provides automated patient communication, reactivation, reputation management, review collection, and organic visibility workflows, primarily via the WhatsApp Business API, Google Business Profile, and related channels.

RepHigh is a communication and workflow tool only. We do not provide medical advice, clinical services, diagnoses, or telehealth. All clinical decisions remain solely with DHA-licensed healthcare professionals.

3. Eligibility and Accounts

  • You must provide accurate, current, and complete information when registering and keep it up to date.
  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We may suspend or terminate accounts that provide false information or are used unlawfully.

4. Client Responsibilities and Acceptable Use

You are responsible for how you use the Service. You agree that you will:

  • Obtain and document explicit, informed patient consent before adding any patient to a communication workflow, as required by UAE PDPL, the UAE Health Data Law, and DHA regulations.
  • Use the Service only for lawful, DHA-compliant communications, and never for unsolicited marketing, spam, or messages prohibited by Meta's WhatsApp Business policies.
  • Not send medical advice, diagnoses, or prohibited medical advertising through the Service.
  • Not upload data you are not authorised to process, or any special-category data beyond what the Service is designed to handle.
  • Not attempt to reverse engineer, disrupt, overload, or gain unauthorised access to the Service.

You are the Data Controller for your patient data; RepHigh acts as your Data Processor as described in our Privacy Policy.

5. Third-Party Services

The Service relies on third-party providers including the Meta WhatsApp Business API, Google Business Profile, and AI model and email providers. Your use of the Service is also subject to those providers' terms. We are not responsible for outages, policy changes, or actions taken by third-party providers, including message-template rejections or account restrictions imposed by Meta or Google.

6. Fees and Billing

  • Subscription fees, trial terms, and any usage-based charges are presented to you before you subscribe.
  • Unless stated otherwise, fees are billed in advance and are non-refundable except where required by law.
  • We may change pricing on renewal with prior notice. Continued use after a price change constitutes acceptance.
  • Third-party messaging charges (e.g. WhatsApp conversation fees) may apply and are your responsibility where indicated.

7. Trials and Cancellation

Free trials, where offered, run for the stated period. You may cancel at any time from your account or by contacting support. On cancellation, your subscription remains active until the end of the current billing period, after which access ends. We do not lock you into long-term contracts.

8. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by RepHigh and protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription. You retain all rights to your own data and content. You grant us a limited licence to process your data solely to provide and improve the Service in line with our Privacy Policy.

9. Confidentiality

Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms. This obligation survives termination.

10. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular commercial result.

11. Limitation of Liability

To the maximum extent permitted by law, RepHigh shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service shall not exceed the fees you paid to RepHigh in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless RepHigh from any claims, damages, liabilities, and expenses arising from your use of the Service, your breach of these Terms, or your failure to obtain required patient consent or to comply with applicable laws and regulations.

13. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service unlawfully or in a way that risks our third-party provider relationships. You may terminate at any time by cancelling your subscription. On termination, we will handle your data in accordance with our Privacy Policy and applicable DHA retention requirements.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates and, where applicable, the Emirate of Dubai, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.
